Dandemutande CEO Never Ncube in his keynote address at the Quality Corporate Governance Annual Chairpersons’ Lounge warned corporate directors that unchecked reliance on artificial intelligence and automated decision tools is eroding traditional board oversigh.

He urged chairpersons to reassert human accountability before algorithms “quietly begin to govern.”

Speaking to board chairs and executive leaders at the M Hotel Singapore, Ncube posed the question at the heart of his address: “Are we governing technology, or is technology quietly beginning to govern us?”

Ncube said boards exist to set long-term strategy, hold management accountable, and apply human judgment in high-stakes decisions functions he argued are being quietly displaced as companies lean more heavily on automated platforms. He told delegates that boards cannot oversee systems they do not understand, and pressed directors to look beyond analytics dashboards to interrogate system design, data control, boundary-setting and override authority.

Technology adoption is not the same as governance, Ncube said. When an algorithm fails or produces flawed forecasts, it cannot be held responsible, and if a board cannot name the individual who owns the consequences of a decision, he said, oversight has effectively broken down.

Ncube put four questions to chairpersons in the room:

– Who designs the system?

– Who controls the data?

– Who sets the rules and boundaries?

– Who can challenge, override, or stop it?

“If you cannot name the human who owns the consequence, you do not have governance. You have adoption wearing governance’s clothes,” Ncube told the audience.

The address comes as boards worldwide face mounting pressure to integrate AI-driven tools without a corresponding update to governance frameworks , a gap Ncube said will define which companies retain real oversight and which merely adopt the appearance of it.
